To qualify for wholesale purchases, you must be a valid retail business and by agreeing to our terms and conditions you certify that you are such. You are only authorized to sell through the retail store that you have listed. Secondary stores, as well as website and online sales must receive prior written approval.
Due to high demands for [Christmas], all orders for this specific period must be placed before the 15th of October. We can’t guarantee any delivery time if an order is submitted after this deadline.
CUSTOMISED ORDERS
Where you have specific requirements which may include the modification of our existing product designs or the addition of your own brand label or printing, then you will supply us with written details of any such desired modifications together with a pdf of any design or logo that you require. We will verify whether your modifications or logo can be incorporated within the product and we will notify you in writing of the additional costs and production times associated with your work specified in your written instruction.
All additional costs arising as a result of such customization will be added to the invoice and shall be paid in accordance with the terms of this agreement. In the case of customized orders, once the order has been accepted by us and production has commenced then this cannot be cancelled by you.
BASIS OF SALE
In entering into this agreement / Contract, you acknowledge that you do not rely on, and waive any claim for breach of, any such representations which are not so confirmed.
No variation to these Terms and Conditions, or to the Contract, shall be binding unless agreed in writing between you or your authorized representative and DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC..
PACKAGING
All products come unpackaged and may require additional folding and package prior to resale.
Terms
DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. retains the right to terminate any delivery or suspend further deliveries in the event the buyer’s financial condition becomes unsatisfactory (in the absolute discretion of DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC..
CHANGES TO THE AGREEMENT
DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. reserves the right to change the terms of this Agreement as necessary. Prices are subject to change without notice. Either party with 30-day written notice can terminate this wholesale partner relationship.
1. Minimum Order Value
First Time wholesale customers of Dirty Monkey Kustoms, a minimum order value is $450 (before shipping) in your currency is required. Follow up orders are to be a minimum order value of $ 350 (before shipping) in your currency.
2. How to place order
**You must be a registered and APPROVED user to view the Wholesale section of the Dirty Monkey Kustoms site. If you have not yet registered please go to the web site, click on "Wholesale Accounts" then "B2B Application". Follow the prompts and submit your information.
Once your account is set up:
• Log in to your Dirty Monkey Kustoms' Wholesale Account with your account email and password.
• Select the items and quantities you wish to purchase and proceed to checkout
• Provide your payment details and complete your order.
• Before payment is captured, we will review your order and contact you if there are any issues with inventory. If there are any items not in-stock or are custom items, you will be contacted with the option to either hold order shipping till all items are received, OR split shipping to shipping all available items in first shipment, and remaining items in a second shipment (additional shipping costs will apply).
• If everything looks ok, we will fulfill your order and ship as agreed.
3. MSRP
Products or goods purchased from DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. shall only be sold at the manufacturer’s suggested retail price (MSRP) or higher. In the event the Wholesale Account chooses to place the products or goods for sale at a discount, the Wholesale Account shall not discount the products more than 25% below MSRP. Permission for special sale events beyond the 25% discount by the Wholesale Account must be requested in writing to DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. and will typically be granted on a single event basis.
4. WHOLESALE PRICING
All prices are listed in your country's dollars. All authorized retailers will receive a stated wholesale discount off the MSRP on a per item basis, plus the cost of shipping. Prices are subject to change without notice.
5. RETURNS
Returns request must be made in writing directly to DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. within 7 days of delivery date quoting invoice number and reasons. No returns are acceptable without DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. approval and delivery instructions for transport. Return Shipping will be charged. For any goods returned as ‘unsuitable’ there is a re-stocking charge of 20%, plus shipping chargeable to customer. Please call or email us with details of the product BEFORE returning.
6. PAYMENTS
DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. accepts credit card (MasterCard or Visa) payments. We do not accept Cheques or e-transfers outside of Canada All orders must be pre-paid in full before shipping. All credit card payments below $1,500 do not incur a merchant fee.
You will be emailed the invoice and goods will be held for [5] days pending payment. Please note that we only hold limited stock so all orders will be held for a maximum of [5] days before being reallocated to another wholesale partner.
7. Shipping
Shipping is not included in the cost of goods. On all orders, shipping will be charged on each invoice - determined by weight and volumetric size of parcel.
8. DELIVERY WINDOW
Please allow at least 4-5 business days from the time of your order for order fulfillment of in-stock items. Allow at least 10-15 business days from the date of fulfillment for delivery. *Larger orders or custom products may require more time; please contact me for information about availability.
9. DAMAGE / DEFECTS
Inspect all shipments immediately upon arrival. If your shipment is damaged in transit, you agree to contact Neil at neil@dirtymonkeykustoms.com within 3 days of delivery. Damaged merchandise will be replaced with new merchandise - photographic proof of damages good MUST be provided. Any problems must be reported in writing or by email and retailer cannot return goods until he has received a written authorization from DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC.. Goods sent back without one will not be credited to your account. Returned merchandise will not be accepted if it is held for more than 15 days after delivery.
10. BACKORDERS
Out of stock goods will be back-ordered and shown on your invoice. If back-ordered goods are in stock at the time of your next order they will be added to your order without duplication. Outstanding back-orders will be shown on each invoice. If you wish to cancel any back-order or not have back-orders listed at all, please inform us. Back Orders under $300 will be shipped on the same terms as outlined in shipping section above.
11. SHIPPING ORDERS
We ship international orders via UPS to a physical store only. NO PO BOXES or residential addresses. ALL orders will be provided a tracking number and insurance. All order deliveries MUST BE SIGNED FOR. Any additional charges for 2nd or 3rd attempt to complete delivery will be at YOUR expense. If 3rd delivery attempt is not successful, the items will be returned to me at YOUR EXPENSE (shipping fees for both directions, any customs fees and 20% of order value for restocking). NO refunds will be provided.
12. DUTIES, TAXES TARIFFS
WE DO NOT collect or charge any duties or taxes. Any cross border duties, taxes, or tariffs are at YOUR expense and will be billed accordingly by either UPS or the receiver's country border customs/taxation department.
13. COPYRIGHT
ALL DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. ARTWORK IS PROTECTED UNDER COPYRIGHT and INTELLECTUAL PROPERTY LAW IN PERPETUITY. All of the designs, products, images, web site content and social media content are the sole property of DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. and NEIL GROCHOLSKI. Purchasing any Dirty Monkey Kustoms products DOES NOT transfer any rights to use, alter, recreate OR reproduce any of my art in whole or part, in physical PRINTED or DIGITAL form for products for re-sale. You hereby agree not to reprint, post, or copy (including electronic or digital scans) any photography, sales materials, or product designs without the advance, express written consent of DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC and NEIL GROCHOLSKI.
ANY COPYRIGHT INFRINGEMENT WILL BE PURSUED LEGALLY - TO THE FULLEST EXTENT - AND AT YOUR EXPENSE.
14. MERCHANTABILITY AND MISREPRESENTATIONSThe Wholesale Buyer agrees that DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. makes no warranty, express or implied, as to the merchantability of DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. products. The Wholesale Buyer also agrees that DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. is not liable for any misuse or misrepresentations of the goods by the Wholesale Buyer or the final retail purchaser or consumer, and indemnifies DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. for any legal actions that emanate or arise from such actions.
PRIVACY POLICY
Any personal information that you provide to us including your name, address, telephone number and email address will be treated confidentially and will not be released, sold or rented to any entities or individuals outside of DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC.. DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. does not collect or record any credit card details you may provide when purchasing products from the DIRTY MONKEY KUSTOMS / INSIGHT STUDIOS INC. website.
